Subject description

Ethics & Governance develops the knowledge and professional judgement required of accountants to act in the public interest and support trust in business. The subject explores how ethical principles and governance frameworks operate in practice—covering the roles and responsibilities of accountants, directors and key stakeholders, and how organisations are held accountable through both financial and non-financial reporting. It also addresses how regulation, compliance, corporate social responsibility (CSR), sustainability and climate-related considerations shape decisions in today’s global business environment.

Visit company offices

Learn how a professional services firm supports clients through assurance/advisory work, quality management, documentation discipline, and professional judgement in practice.


Operational walk-through: Governance + controls in action

SW Asia Academy — Terms & Conditions (English)

These Terms & Conditions apply to all services provided by SW Asia Academy, including training programs, workshops, company visits, advisory services, and related materials (collectively, “Services”). By enrolling, booking, paying for, or using our Services, you agree to these Terms.

1) Definitions

  • Services: Any course, workshop, advisory session, company visit, director training, learning materials, and related support provided by SW Asia Academy.
  • Program: A bundled package of Services (if applicable).
  • CPD: Continuing Professional Development hours (where stated).
  • CPA Australia: CPA Australia Ltd, an independent professional body not owned or controlled by SW Asia Academy.

2) Enrolment, Booking & Confirmation

  1. A booking is confirmed only after (i) we receive full payment or an agreed deposit (if offered), and (ii) we issue written confirmation by email/WhatsApp/message.
  2. You must provide accurate personal details required for enrolment/booking and (where relevant) certificate issuance.
  3. We may refuse or cancel enrolment if (a) a program is full, (b) stated eligibility requirements are not met (if any), or (c) there is misconduct or non-compliance with these Terms.

3) Fees, Payment & Taxes

  1. Fees are quoted in HKD unless otherwise stated.
  2. Fees must be paid by the stated due date. Late payment may result in cancellation of your booking or loss of your place.
  3. Unless stated otherwise, fees exclude bank charges, currency conversion charges, and any applicable taxes/levies.
  4. Discounts, promotional pricing, or bundle offers may be subject to specific conditions and may not be combined unless we confirm in writing.

4) Cancellations, Transfers & Refunds

4.1 By you (participant/client)

  1. Cancellation/transfer requests must be submitted in writing (email/WhatsApp acceptable) and are effective only upon our written acknowledgement.
  2. Refund/transfer eligibility depends on the specific Service and timing. Unless otherwise stated in your invoice/confirmation:
    • Advisory services (e.g., CV rewrite, consultation, exam registration support) are non-refundable once work has commenced, including document review, drafting, or reserving/booking a time slot.
    • Workshops/courses: cancellations may be eligible for partial refund or credit if requested before the start date (subject to our written confirmation).
  3. No refund will be provided for non-attendance or failure to complete any part of a Service.
  4. Where a transfer is approved, it may be subject to an administrative fee and a validity period.

4.2 By us (schedule changes/cancellation)

  1. We may reschedule, change venue, switch delivery mode (in-person/online), change trainers, or cancel a Service due to low enrolment, trainer unavailability, safety, weather, venue issues, or events beyond our control.
  2. If we cancel a Service, we will offer (at our discretion) a reschedule, credit, or refund of the unused portion. We are not responsible for indirect costs (e.g., travel, accommodation, leave).

5) CPD Certificates

  1. CPD certificates (where offered) are issued based on attendance and/or completion requirements we specify.
  2. We may require accurate name/ID details to issue certificates.
  3. CPD recognition is subject to the policies of the receiving organisation/body. We do not guarantee acceptance by any third party.

6) Advisory Services (Special Conditions)

  1. Advisory services provide guidance and administrative support (e.g., CV improvements, consultation, exam registration support).
  2. You are responsible for the accuracy and completeness of the information you provide.
  3. We do not guarantee employment outcomes, exam outcomes, admissions, eligibility, or approvals by CPA Australia or any other body.
  4. Where we assist with exam registration steps, the final submission and responsibility remain with you unless expressly agreed otherwise in writing.

7) CPA Australia Relationship Disclaimer

  1. SW Asia Academy is a CPA Australia recognised tuition provider (where applicable), but CPA Australia is independent and is not responsible for our Services.
  2. References to CPA Australia are for recognition/education context only. Eligibility, exam registration, results, and membership decisions are determined solely by CPA Australia.

8) Intellectual Property

  1. All training materials, slides, worksheets, templates, recordings, and content provided are our intellectual property (or licensed to us).
  2. Materials are for your personal use only. You may not copy, reproduce, distribute, resell, publish, or share them without our prior written consent.

9) Recording & Use of Likeness

  1. We may record sessions for quality control or internal training. If recordings are intended for marketing, we will seek consent where required by law.
  2. You may not record sessions without our prior written permission.

10) Privacy & Data Protection

  1. We collect and use personal data to deliver Services, manage enrolment, issue certificates, and provide support.
  2. We will handle personal data in a reasonable and secure manner and will not sell your personal data.
  3. You consent to receiving communications related to your booking (email/WhatsApp).

11) Liability & Limitations

  1. Services are provided on an “as-is” basis for educational and advisory purposes.
  2. To the maximum extent permitted by law, we are not liable for indirect or consequential losses (loss of profit, opportunity, or reputation).
  3. Our total liability for any claim relating to a specific Service is limited to the amount you paid for that Service.

12) Force Majeure

We are not responsible for delays or failure to perform due to events beyond reasonable control (e.g., severe weather, public health measures, strikes, internet failure, venue closure).

13) Governing Law & Jurisdiction

These Terms are governed by the laws of Hong Kong SAR. The courts of Hong Kong SAR shall have non-exclusive jurisdiction over disputes arising from or related to these Terms.

14) Updates to These Terms

We may update these Terms from time to time. The version in effect at the time of your booking/payment will apply unless otherwise required by law.

本条款及细则适用于 SW Asia Academy所提供的所有服务,包括课程、工作坊、企业参访、顾问服务以及相关教材与资料(统称“服务”)。当您报名、预约、付款或使用我们的服务,即表示您同意并受本条款约束。

1) 定义

  • 服务:SW Asia Academy 提供的任何课程、工作坊、顾问咨询、企业参访、董事培训、学习资料及相关支持。
  • 项目/套餐:由多项服务组成的组合套餐(如适用)。
  • CPD:持续专业发展学时(如有标示)。
  • CPA Australia:澳洲会计师公会 CPA Australia Ltd,为独立专业机构,与本院并非从属或控制关系。

2) 报名、预约与确认

  1. 仅在(i)我们收到全额费用或双方同意的订金(如提供),且(ii)我们以电邮/WhatsApp/讯息发出书面确认后,预约方视为确认成功
  2. 您须提供准确的个人资料以完成报名/预约及(如适用)证书发放。
  3. 如出现以下情况,我们有权拒绝或取消报名:(a)名额已满;(b)未符合已说明之资格要求(如有);(c)违反本条款或出现不当行为。

3) 费用、付款与税项

  1. 除非另有说明,所有费用以 港币(HKD)计价。
  2. 费用须于指定期限内缴付;逾期付款可能导致预约取消或失去名额。
  3. 除非另有说明,费用不包含银行手续费、汇兑费用及任何适用税项/征费。
  4. 优惠价、推广价或套餐价可能附带特定条件,除非我们书面确认,否则不可与其他优惠叠加使用。

4) 取消、改期/转让与退款

4.1 由您提出(学员/客户)

  1. 任何取消、改期或转让申请须以书面提出(电邮/WhatsApp均可),并以我们书面确认收悉为准。
  2. 退款/改期资格视服务类型与时间而定;除非发票/确认信息另有说明:
    • 顾问服务(例如:CV修改、咨询、CPA Australia考试注册协助)在工作已开始后不设退款,包括但不限于资料审阅、内容撰写/修改、或已为您预留/预约时间。
    • 课程/工作坊:如在开课前提出取消,可能可获部分退款或转为学费额度(以我们书面确认为准)。
  3. 因缺席或未完成服务内容而产生的损失,不设退款
  4. 如获批准转让/改期,可能需缴付行政费用,并须在指定有效期内使用。

4.2 由我们提出(改期/取消)

  1. 因报名人数不足、导师安排、场地/安全/天气因素或其他不可控情况,我们可调整时间、地点、授课形式(线上/线下)、导师或取消服务。
  2. 如我们取消服务,我们将酌情提供改期学费额度退还未使用部分费用。我们不承担您的间接费用(如交通、住宿、请假等)。

5) CPD证书

  1. 如提供CPD证书,将按我们所规定之出席及/或完成要求发放。
  2. 我们可能要求您提供准确姓名/身份证明信息用于证书发放。
  3. CPD是否被第三方认可取决于相关机构政策;本院不保证必然被任何第三方接受。

6) 顾问服务(特别条款)

  1. 顾问服务属指导与行政协助性质(例如:CV优化、咨询、考试注册协助)。
  2. 您须确保所提供资料真实、准确及完整;因资料不准确/不完整导致的结果由您自行承担。
  3. 我们不保证就业结果、考试结果、录取/资格、或 CPA Australia 或任何机构的审批结果。
  4. 若我们协助您完成考试注册步骤,除非另有书面约定,最终提交与责任仍由您承担。

7) CPA Australia关系声明

  1. SW Asia Academy(如适用)为 CPA Australia 认可教育机构/认可课程提供者,但 CPA Australia 为独立机构,不对本院服务负责。
  2. 任何对CPA Australia的提及仅作认可/教育信息用途;资格、注册、成绩及会员决定均由CPA Australia独立决定。

8) 知识产权

  1. 我们提供的教材、讲义、模板、录影及相关内容均属本院知识产权(或已获授权)。
  2. 所有资料仅供您个人使用,未经书面同意不得复制、转载、分发、转售、出版或对外分享。

9) 录影/录音与肖像使用

  1. 我们可能为质量管理或内部培训目的录制课堂/活动。如用于市场推广且法律有要求,我们会按需要征求同意。
  2. 未经书面许可,您不得自行录影或录音。

10) 私隐与资料保护

  1. 我们收集及使用个人资料用于提供服务、管理报名、发放证书及提供支持。
  2. 我们会以合理及安全方式处理个人资料,并不会出售您的个人资料。
  3. 您同意我们就预约相关事宜通过电邮/WhatsApp/短信与您联系。

11) 责任限制

  1. 服务以教育与顾问用途提供,按“现状”提供。
  2. 在法律允许范围内,我们不对间接或连带损失负责(例如利润、机会或声誉损失)。
  3. 就任何与某项服务相关的索赔,我们的最高责任以您就该项服务已支付的金额为上限。

12) 不可抗力

因超出合理控制范围的事件导致延误或无法提供服务(例如恶劣天气、公共卫生措施、罢工、网络故障),我们不承担责任。

13) 适用法律与司法管辖

本条款受香港特别行政区法律管辖。因本条款引起或与之相关的争议,香港特别行政区法院具有非专属司法管辖权。

14) 条款更新

我们可能不时更新本条款。除法律另有规定外,以您报名/付款时适用之版本为准。
